This week the Quadcast team will be discussing good faith in commercial contracts.

4th June - Good Faith in Commercial Contracts

In a series of decisions, spearheaded by Lord Leggatt, the English Courts have found implied terms of good faith in commercial contracts. The existence of such a duty (together with implied limitations on the exercise of contractual discretions) is becoming an important issue in the context of banking relationships, supply agreements, agency relationships, shareholder agreements and other similar longer term contractual arrangements.

This week the Quadcast team will examine the development of this duty of good faith, the notion of relational contracts and the extent to which the case-law in this area comprises a departure from the traditional approach of the common law.

7th May 2020                   Vicarious Liability: The Supreme Court’s London Buses?

You may have missed it but on 1st April 2020 the Supreme Court handed down two judgments clarifying the law on vicarious liability.  In Barclays v Various Claimants [2020] UKSC 13 and Morrisons v Various Claimants [2020] UKSC 12 the Supreme Court dealt with the familiar problem of the circumstances in which an employer can be liable for the actions of a rogue employee/contractor.  The Quadcast team will explain the two decisions and debate whether the law has finally settled in this field.

21st May 2020                 Anti-Suits: The Death of Comity?

A host of recent cases show the English Courts going further than before in their willingness to grant Anti-Suit Injunctions and protect English Jurisdiction. This week the Quadcast team discuss the state of the law on ASIs including whether we are entering a new era where English Judges are more prepared to challenge previously entrenched ideas of comity and adopt a less formulaic approach to ASIs.
